Terms of Service

1. Acceptance of Terms

By accessing or using the Sportal mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Age Requirement

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you meet this requirement. Users under 18 must have parental or guardian consent.

3. Description of Service

Sportal is a sports team and event coordination platform that enables users to:

• Create and manage sports teams and rosters
• Organize and schedule pickup games and events
• Communicate with team members
• Track RSVPs and attendance

Sportal is a coordination tool only and does not organize, supervise, or control any sports activities.

4. Assumption of Risk and Liability Waiver

4.1 Acknowledgment of Inherent Risks

You acknowledge and understand that participation in sports and athletic activities involves inherent risks of physical injury, including but not limited to:

• Sprains, strains, and fractures
• Concussions and head injuries
• Cardiac events
• Heat-related illness
• Contact with other participants, equipment, or surfaces
• Unforeseen accidents and injuries

You agree to indemnify and hold harmless the Released Parties from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your participation in any sports activities
• Your violation of these Terms
• Your violation of any rights of another person or entity

4.5 Limits on Waiver

Nothing in this Section 4 waives liability for gross negligence, intentional misconduct, fraud, or any liability that cannot lawfully be waived under Oregon law. For users under 18, a parent or legal guardian's signature on a participation waiver does not release a minor's own claims to the extent prohibited by applicable law.

5. User Responsibilities

5.1 Accuracy of Information

You are solely responsible for the accuracy of all information you provide, including but not limited to:

• Event details (location, time, rules)
• Personal health and fitness information
• Contact information

5.2 Personal Safety

You are responsible for:

• Assessing your own physical condition before participating in any activity
• Using appropriate safety equipment
• Knowing and following the rules of any sport or activity
• Evaluating the safety of any venue or location
• Obtaining appropriate medical clearance if necessary

5.3 Conduct

You agree to:

• Treat other users with respect
• Not use the App for any unlawful purpose
• Not harass, abuse, or harm other users
• Not impersonate any person or entity
• Not transmit spam, malware, or other harmful content

6. Third-Party Content, Events, and Interactions

6.1 Third-Party Events and User-Generated Content

Events, games, rosters, locations, descriptions, and other content posted in the App are created by users, not by Sportal. Sportal does not verify, endorse, sponsor, supervise, or guarantee any event, organizer, venue, opponent, or other participant. You are solely responsible for evaluating any event before attending, including the qualifications and intentions of organizers and other participants, the safety of the venue, and the suitability of the activity. Sportal is not liable for the conduct of any user or third party encountered through the App, whether online or in person.

6.2 No Background Checks

Sportal does not conduct criminal background checks, identity verification, or screening of any user, organizer, or venue. You are responsible for taking reasonable precautions when meeting other users in person, including verifying identities and meeting in public, well-trafficked locations.

6.3 Off-Platform Interactions

When you communicate with or meet other users off the App, Sportal has no involvement in or responsibility for those interactions. Any harm arising from off-platform communications, meetings, transportation, or activities is solely between the parties involved.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

9.2 Informal Dispute Resolution

Before filing an arbitration or other proceeding, you agree to first try to resolve any dispute informally by sending a written notice describing the dispute and the relief you seek to sportalpdx@gmail.com. Sportal will do the same by sending notice to the email associated with your account. The parties shall attempt in good faith to resolve the dispute through informal negotiation for at least sixty (60) days after receipt of the notice before initiating arbitration. Any applicable statute of limitations and any filing-fee deadlines shall be tolled during this informal-resolution period.

9.3 Arbitration Agreement

If the dispute is not resolved within the informal-resolution period, any dispute, controversy, or claim arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Portland, Oregon, or at another mutually agreed location (including virtually). Judgment on the award may be entered in any court of competent jurisdiction.

9.4 Right to Opt Out of Arbitration

You may opt out of the arbitration agreement in Section 9.3 and the class-action waiver in Section 9.5 by sending written notice to sportalpdx@gmail.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms (or, for existing users, within 30 days of the Last Updated date above). Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

Notwithstanding the above, either party may bring an individual action in small claims court.

10. Account and Termination

10.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

10.2 Termination

Sportal may suspend or terminate your access to the App at any time, for any reason, without notice. You may delete your account at any time through the App settings.

10.3 Complimentary Access Codes

Sportal may issue complimentary access codes at the operator's sole discretion, and such codes may be subject to time limits or other restrictions.

11. Subscriptions and Auto-Renewal

Certain features of the App may be offered on a paid subscription basis (each, a "Subscription"). If you purchase a Subscription, the following terms apply in addition to the rules of the platform from which you purchased it (e.g., the Apple App Store or Google Play Store).

11.1 Billing and Auto-Renewal

• The Subscription price, billing frequency, and length of the renewal period will be disclosed to you at the time of purchase.
• Payment is charged to your Apple ID or Google account at confirmation of purchase.
• Your Subscription automatically renews for successive periods of the same length at the then-current price unless you cancel at least 24 hours before the end of the current period.
• Your account is charged for renewal within 24 hours prior to the end of the current period.

11.2 How to Cancel

You may cancel auto-renewal at any time by going to your account settings in the App Store or Google Play Store. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that time. Deleting the App alone does not cancel your Subscription.

11.3 Free Trials and Introductory Offers

If a Subscription includes a free trial or introductory offer, any unused portion of the trial is forfeited if you purchase a Subscription during the trial. Unless you cancel before the end of the trial, the Subscription will automatically renew at the regular price.

11.4 Price Changes

We may change Subscription prices from time to time. Any price change will take effect at the start of the next billing period after notice is provided to you, and where required by the App Store or Google Play, will require your express consent before continuing.

11.5 Refunds

Refunds, where available, are handled by the Apple App Store or Google Play Store in accordance with their respective policies. Except where required by law, payments are non-refundable and there are no refunds or credits for partially used periods.

11.6 State-Specific Auto-Renewal Disclosures

If you reside in California, Oregon, or another U.S. state with an automatic-renewal law, this Section 11 and the disclosures presented at the point of purchase serve as the required clear and conspicuous notice that your Subscription will continue and renew automatically until cancelled, the length and price of each renewal term, and the cancellation mechanism described above.

12. App Store and Google Play Additional Terms

The following additional terms apply when you download or use the App from the Apple App Store or Google Play Store. In the event of a conflict between these Terms and the applicable platform's terms, the platform's terms control with respect to your use of the App on that platform.

12.1 Apple App Store

• Parties. These Terms are between you and Sportal only, and not with Apple Inc. ("Apple"). Sportal, not Apple, is solely responsible for the App and its content.
• License Scope. Apple grants you a limited, non-transferable license to use the App only on Apple-branded products that you own or control and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Maintenance and Support. Sportal is solely responsible for providing any maintenance or support services for the App. Apple has no obligation to furnish any maintenance or support.
• Warranty. Sportal is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Product Claims. Sportal, not Apple, is responsible for addressing any claims relating to the App, including product-liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• Intellectual Property. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Sportal (not Apple) is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal Compliance. You represent that (a) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and (b) you are not on any U.S. Government list of prohibited or restricted parties.
• Third-Party Beneficiary. You and Sportal acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and that, upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

12.2 Google Play

• Your use of the App downloaded from Google Play is also governed by the Google Play Terms of Service.
• Sportal, not Google, is solely responsible for the App and its content, including any maintenance and support, warranty (express or implied), product-liability claims, and intellectual-property claims relating to the App.
• Google is not a party to these Terms and is not responsible for the App or its content.

13. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. User Content and Copyright

You retain ownership of any content you upload to the App (such as profile photos). By uploading content, you grant Sportal a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating the App.

You represent that you own or have the necessary rights to any content you upload and that such content does not infringe upon the intellectual property rights of any third party.

If you believe that content on the App infringes your copyright, please contact us at the email address provided below with a description of the alleged infringement.

15. Data Deletion Rights

You have the right to delete your account and associated data at any time. To delete your account:

• Go to Account Settings → Privacy & Security → Delete My Account
• Your personal data will be removed within 30 days
• Some data may be retained as required by law or for legitimate business purposes

16. Changes to Terms

Sportal reserves the right to modify these Terms at any time. We will notify users of material changes through the App. Your continued use of the App after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sportal regarding the use of the App.
